These Terms and Conditions govern the contractual relationship between AyalaLand Hotels and Resorts, Corp. (AHRC) (the “Company”), the Seda Edge (the “Program”) and Seda Edge Members.
GENERAL TERMS & CONDITIONS
1. Seda Edge is a guest loyalty and rewards program for Seda Hotels owned and administered by AHRC.
2. Members are deemed to have read, understood and agreed to these Terms and Conditions.
3. AHRC reserves the right to grant or refuse Membership at its sole and absolute discretion.
4. Employees of Seda Hotels and the parent company are ineligible to participate in the Program. AHRC reserves the right to change the program mechanics, structure, benefits and other features, including its Terms and Conditions, or to terminate Seda Edge at any time, it being understood that Seda Edge is a perk extended to Seda Hotel’s guests and is, by nature, an accommodation. AHRC shall endeavor to take all reasonable means to provide Members with accurate and timely information regarding Seda Edge including any changes thereof but AHRC shall not be liable in any way for failure to do so. Any use of Seda Edge by a Member will be deemed as an acceptance of all the terms and conditions including any revision(s) thereof. AHRC and Seda Hotels will not be liable for any loss, damage resulting from any revision(s) to Seda Edge or to these Terms and Conditions.
5. All interpretations of Seda Edge program’s Terms and Conditions shall be at the sole and absolute discretion of Seda Hotels.

MEMBERSHIP, ENROLLMENT AND TERMINATION
1. Membership is for individuals 18 years old and above. No Corporations, groups and/or associated entities are eligible to enroll as Members.
2. A prospective member must be considered in good standing, (with no previous or existing financial liabilities or behavioral negative record) in any Seda hotel.
3. Membership is free-of-charge.
4. A Member may have only one account. AHRC reserves the right to merge multiple accounts without prior notice. Any Seda Edge Points earned by the duplicate account will be transferred to the oldest account. AHRC is not responsible for any loss of Member benefits and/or services due to duplicate Membership.
5. Members shall be issued the Seda Edge Membership Numbers and Membership Cards which are non-transferable.Hotels may require ID for verification purposes.
6. Membership enrolment may be done in any Seda hotel or online through the Seda Edge website loyalty.sedahotels.com. Applicants considered to have agreed to the Terms and Conditions of the program upon registration.
7.Processing of Membership will take up to 48 hours at most. Upon approval, the Member will receive an email confirmation.
8. The Membership Card may be claimed during the hotel stay or at the Seda hotel where the Member will stay next. Membership card is free-of-charge, but a fee of Php 150 shall be collected as replacement cost in case of loss.
9. Members who have not have any Qualifying Stay in any Seda hotel for a continuous period of 12 months will be placed on Inactive status and all earned Seda Edge Points will be forfeited. The Membership account will be placed on closed status if not re-activated through a qualifying stay at any Seda Hotel within 12 months from the date of the Inactive status.
10. AHRC reserves the right to terminate the Membership of any individual, and its benefits and earned Seda Edge Points at any time, at its sole discretion and without compensation whatsoever, for reasons including but not limited to the following acts, as when a member:
1. Has committed a breach of any of the Terms and Conditions;
2. Has abused or misused the benefits accorded by the Seda Edge ;
3. Has misrepresented information provided to the Seda Edge or Seda Hotels;
4. Is alleged to be engaged in the sale or barter of Seda Edge Points, rewards, or privileges other than as authorized by the Seda Edge ; or
5. Is alleged to have performed fraudulent act(s) that is deemed detrimental to the interests of AHRC and Seda Hotels.
MEMBERSHIP LEVELS
1. Seda Edge has two (2) Membership Levels:
I. Classic – Initial Level for all new Members
II. Premier – Member is upgraded to this Level after accumulating a minimum stay of 15 nights in one or more Seda Hotels within a period of 12 months.
2. Processing for the Membership Level upgrade is within seven (7) working days after the stay wherein the minimum number of Qualifying Room Nights is met.
3. Premier Members shall retain their Membership Level for a 12 month period after the date of upgrade. If the Member meets the minimum nights required within that period, the Membership Level is maintained for another 12 months. Otherwise, the Membership Level should revert to the classic tier.
4. A new card corresponding to the Member's new Level can be claimed at the Seda hotel of his/her choice as indicated on the form. Upon claiming, the old card must be surrendered to the hotel.
EARNING POINTS
1. Members earn Seda Edge Points for every Qualified Stay in any Seda Hotel.
2. Qualifying Stays are booking:
i. Made through www.sedahotels.com, or the Seda Edge Reservations hotlines and email,
ii. Based on corporate rates.
Booking through 3rd party sellers such as tour operators, online travel agencies, group buying sites, deal sites and similar platforms do not qualify for points.
3. Points Scale
I. Member earns 1 Seda Edge Point for every 10 Pesos spent based on the Room/Room Package Rate;exclusive of Service Charge; and applicable government taxes.
II. Other charges that are not included in the Room Package rate such as Food and Beverage consumptions, massage, laundry and dry cleaning, and transportation, do not earn Points for the Member even when these are charged to the room.
III. Points awarded will be rounded off to a whole number.
4. Seda Edge Points are non-transferrable.
5. Points may only be earned from the room the Member is staying in, and additional rooms which Member is paying for. The Member still earns points for stays that the company or another party pays.
6. Points may not be shared between Members staying in one room. The points will be credited to only one Member. The Member to receive the Points must be assigned during check in.
7. Points do not expire but will be forfeited once the account status becomes Inactive.
8. Points do not constitute a means of payment and have no monetary value. No monies shall be given for lost or unused Points.
9. Points are non-retroactive and will not be earned for past stays prior the approval of Membership.

2. Special welcome room amenities are accorded to Premier Members.
3. Only the Member’s room is entitled to the benefits associated with the loyalty card.
4. Premier Members will receive the welcome room amenities even if their stay is not considered as Qualifying stay.
5. Food & Beverage outlet discounts may be availed of even when the Member is not booked in the hotel at that time. The Membership Card must be presented to avail the discount. The discount cannot be used in conjunction with other special offers or promotions.
6. The hotel may require the Member to present another valid ID for verification purposes.
SEDA EDGE REWARDS REDEMPTION
1. Rewards can be redeemed anytime as long as the Member has enough Points for the selected Reward.
2. Rewards can only be redeemed online at loyalty.sedahotels.com
3. Once the Reward has been selected and redeemed using Seda Edge Points, an E-voucher with a unique voucher code shall be generated. This E-voucher can be downloaded from the Membership Portal.
4. The Member must agree to the Reward’s Terms and Conditions, booking procedures and cancellation policies indicated on the E-voucher.
5. Rewards cannot be redeemed for cash and are void if sold for cash or other considerations.
6. Rewards are transferable.
7. E-Vouchers are downloaded electronically and can be printed. Their safekeeping is the responsibility of the Member. In case of loss or possible unauthorized use, the Member shall inform the hotel within 48 hours to enable its staff to prevent its use. Seda Hotels is not liable for unauthorized use of the E-voucher and will not refund Points to compensate for such, regardless of whether the same was duly reported by the Member.
8. Rewards redemption can be cancelled and Points refunded, as long as the reasons and conditions for doing so fall within the parameters of the E-Voucher cancellation policy. To do so, the Member must accomplish the Reward refund form in the website. Verification and processing may take up to two (2) weeks. Since the vouchers can be downloaded electronically, Seda Hotels shall not be responsible for unauthorized claims during the processing period.

3. Limitation of Liability
a. AHRC and/or Seda Hotels does not accept any liability whatsoever with respect to any damage, death, delay, injury or loss arising out of, or in connection with the services, points or benefits provided or not provided by Seda Hotels and through the use of the Seda Edge or Seda Hotels website. AHRC and/or Seda Hotels shall not be liable for any loss or damage resulting from the termination or change in the program Terms and Conditions or for any withdrawal from the program. The Members holds AHRC and/or Seda Hotels free and harmless from any and all claims, actions, suits, or proceedings relating to the Member's membership in the Program and the use and redemption of Seda Edge Points and use of Seda Hotels website.
4. Applicable law and jurisdiction
The applicable law is Philippine law and the venue for any action shall be the proper courts of Taguig City to the exclusion of all other venues.
